END USER LICENSE AGREEMENT

PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA" or "AGREEMENT") CAREFULLY BEFORE USING THE MONITGLASS SOFTWARE. BY ACCESSING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SOFTWARE.

1. DEFINITIONS

"Licensor" means Monit s.c. with its registered office at Plac Konesera 12, 03-736 Warsaw, Poland (VAT EU: PL1133004003).

"Licensee" or "You" means the individual or entity accessing or using the MonitGlass Software.

"Software" or "MonitGlass" means the MonitGlass software application, including all updates, upgrades, modifications, and related documentation provided by the Licensor.

"Service" means the cloud-based Software as a Service (SaaS) platform through which the Software is delivered.

"Website" means www.monitglass.com and any associated subdomains.

2. LICENSE GRANT

Subject to your compliance with the terms of this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the MonitGlass Software solely through a cloud-based environment for your internal business purposes.

The Licensor declares that it is the sole owner of all economic copyrights and intellectual property rights to the MonitGlass Software and is fully authorized to license the Software.

The Software is provided in the Software as a Service (SaaS) model, where the software is stored and operated on the cloud service provider's servers and made available to users via the Internet.

3. SCOPE OF LICENSE

The license covers the use of the MonitGlass Software exclusively within the territory of the United States of America.

You are authorized to use the Software solely for your own internal business purposes.

One license permits the use of the Software by one Licensee in a cloud computing environment. Use by any third party or affiliated entity not explicitly authorized is prohibited.

The license includes the right to receive Software updates provided by the Licensor.

4. RESTRICTIONS ON USE

You shall not, and shall not permit any third party to:

Reproduce, copy, modify, adapt, translate, or create derivative works of the Software, including any of its code or components.

Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software, except where expressly permitted by applicable law and only to the limited extent required.

Sublicense, lease, rent, distribute, assign, sell, or otherwise transfer or make the Software available to any third party in whole or in part.

Use the Software for the benefit of any third party or in any service bureau, time-sharing, or outsourcing arrangement.

Share, transfer, sublicense, or otherwise provide access to the Software to any third parties.

Disclose, publish, or otherwise make the source code available, in whole or in part.

Distribute, make public, or share the Software or any of its copies with third parties, whether for commercial or non-commercial purposes, including but not limited to lending, leasing, sublicensing, offering the Software via download, or providing it as a subscription service.

5. INTELLECTUAL PROPERTY RIGHTS

The source code of the MonitGlass Software is proprietary and not publicly available. All rights not expressly granted to you are reserved by the Licensor.

You are obligated to retain the original name of the MonitGlass Software, its trademark, and a visible hyperlink to the official product website at www.monitglass.com, including the MonitGlass logo and designation, in every instance where the Software is made available, displayed, or used.

You shall not, under any circumstances, remove, obscure, alter, or replace any identification marks, logos, product names, or references to MonitGlass, nor create any derivative or integrated application that conceals or substitutes such identifiers with alternative branding or designations.

All content and software related to the Service are owned by Monit s.c. or its licensors and protected by intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without prior written consent.

6. SOFTWARE ACCESS AND USE

You will receive access to a dedicated MonitGlass software instance hosted in the cloud.

You are responsible for securely storing login credentials and preventing unauthorized access.

Using MonitGlass requires an active internet connection and a modern, supported web browser (Google Chrome with the latest version is recommended).

The QR code scanning application is available exclusively for Android devices with the latest version of Android and requires high-speed internet access on the production floor.

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

7. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

The Licensor does not warrant that the Software will always operate in a continuous, error-free, and uninterrupted manner, or will comply with your hardware or system requirements.

The Licensor shall not be responsible for the suitability of the Software for the purposes assumed by you.

The Licensor's warranty-based liability for physical and legal defects of the Software is excluded to the maximum extent permitted by applicable law.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or business opportunities

Loss of data or information

Business interruption

Any damage arising from the use of data contained in the Software

Inability to use the Software due to factors attributable to you

Malfunctions of your hardware or infrastructure

Failures or outages of third-party cloud or internet service providers

You use the MonitGlass Software at your sole risk and responsibility.

9. USER CONDUCT

You may use the Service only for lawful purposes and in accordance with this Agreement. You agree not to:

Violate any applicable law or regulation

Interfere with or disrupt the operation of the Service

Attempt to gain unauthorized access to the Service or related systems

Use the Service in any manner that could damage, disable, overburden, or impair the Service

10. TERMINATION

The License may be terminated by the Licensor if you are found to be in breach of this Agreement.

If a violation is found, the Licensor shall notify you of the violation and provide one (1) day to remedy the breach. The notice shall identify the irregularity and be sent in writing and by email.

If you do not remedy the violations within the specified period, the Licensor has the right to terminate the license with immediate effect.

Upon termination, the Licensor shall disable access to the Software, and you shall immediately discontinue any further use of the Software.

We may suspend or terminate your access to the Service if you violate these Terms or applicable law. Upon termination, your right to use the Service will cease immediately.

11. UPDATES AND MODIFICATIONS

The Licensor retains the right to modify the source code of the MonitGlass Software at its sole discretion.

In the event the Licensor provides an upgraded version of the Software — including updates, bug fixes, or new functionalities — the terms and conditions of this Agreement shall apply equally to such upgraded version, unless otherwise stated in writing.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

We reserve the right to modify these Terms at any time. Any changes will be effective upon posting to our website. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.

12. PRIVACY AND DATA PROTECTION

The Licensor shall maintain the confidentiality of all data entered into the Software by you.

The Licensor implements appropriate technical and organizational measures designed to ensure the security of personal data. However, the Licensor does not warrant that its systems are immune to all security threats or incidents beyond its reasonable control.

The Licensor shall comply with applicable U.S. data protection laws, including but not limited to the California Consumer Privacy Act (CCPA), the New York SHIELD Act, and any other state-level privacy legislation relevant to the processing of personal data.

13. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws principles.

Any disputes arising out of or in connection with this Agreement shall be submitted to the courts having jurisdiction in the State of New York.

14. SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable, such invalidity shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.

15. ENTIRE AGREEMENT

This Agreement constitutes the complete, sole, and comprehensive contractual regulation of the legal relationship between the Licensor and you with respect to the use of the Software and shall supersede all previous agreements and arrangements to the identical extent.
